Acceptance of Terms
By clicking “I Agree” on our Stripe payment page or signing your contract, you (“the User”) agree to these Terms of Service (“ToS”). If you do not agree to these ToS, please do not use our services.
Service Description
1.1 Local SEO: Amplocal offers local search engine optimization services to improve your online presence and visibility in local search results. These services may include keyword research, on-page optimization, local business listing optimization, and citation building.
1.2 Google My Business Setup and Review Management: Amplocal helps you set up and optimize your Google My Business (GMB) profile to enhance your local search visibility. We also offer review management services to monitor and respond to customer reviews on your GMB listing.
1.3 Website Development: Amplocal provides website development services to create, design, and optimize websites for businesses. These services may include website design, content creation, website optimization, and maintenance.
1.4 Other Marketing Services: Amplocal may provide other marketing services as requested by the client or as detailed in individual service agreements or contracts. These services may include, but are not limited to, email marketing, social media marketing, content marketing, and paid advertising.
1.5 No Guarantee of Results: While Amplocal employs industry best practices and strives to deliver high-quality marketing services, we make no guarantees or promises regarding the outcomes of our services. Specifically, we do not guarantee any improvement in your search engine rankings, website traffic, or any other performance metrics. The effectiveness of our services can depend on various factors beyond our control, such as changes in search engine algorithms, market trends, and competitive landscape. By using our services, you acknowledge and agree that Amplocal is not liable for any service outcomes that do not meet your expectations.
Client Responsibilities
2.1 Accurate Information: You agree to provide accurate and complete information to Amplocal for the provision of services. It is your responsibility to ensure that all information provided to Amplocal, including business details and contact information, is accurate and up to date.
2.2 Compliance: You agree to comply with all applicable laws, regulations, and industry guidelines regarding the use of the services provided by Amplocal.
2.3 Access and Cooperation: You agree to provide Amplocal with necessary access and cooperation to perform the services effectively. This includes providing necessary credentials, permissions, and timely responses to requests for information or feedback.
Intellectual Property Rights
3.1 Amplocal Ownership: All materials, including but not limited to website content, designs, logos, trademarks, and software, provided by Amplocal are owned or licensed by Amplocal and are protected by intellectual property laws. You agree not to use, copy, distribute, or modify any of these materials without prior written consent from Amplocal.
3.2 Client Ownership: You retain ownership of all content, data, and materials provided by you to Amplocal for the purpose of rendering the services. However, you grant Amplocal a non-exclusive, royalty-free license to use, reproduce, and modify such materials solely for the purpose of providing the services.
Payment and Payment Policy
4.1 Fees: You agree to pay the fees specified by Amplocal for the services provided. Fees may be based on a one-time payment or recurring subscription, as agreed upon between you and Amplocal.
4.2 Payment Terms: Payment for services is due as specified in the invoice or payment agreement. Amplocal reserves the right to suspend or terminate services for non-payment or late payment. Payment Due Date: Payment is due by the 15th of each month after receiving your invoice, unless otherwise specified in writing.
4.3 Refunds: Refund policies, if applicable, will be specified separately in the payment agreement or contract. Please refer to the specific refund terms provided by Amplocal.
4.4 Late Payments: Late payments are subject to additional charges or penalties. A late payment fee of 5% of the amount due, which shall not exceed $250 for the month the invoice was due, will be applied for payments not made by the 20th of the month in which the invoice was sent.
4.5 Non-Payment: Failure to make payment within [Number of days] days of the due date may result in the suspension or termination of services or products provided by Amplocal.io. Legal action may also be pursued to recover outstanding amounts. The total balance due shall be charged interest at the rate of 12% per annum, which shall be compounded monthly on the total balance due.
Limitation of Liability
5.1 Disclaimer: Amplocal strives to provide accurate and reliable services. However, we do not guarantee the accuracy, completeness, or reliability of any information or results obtained through the use of our services. The services are provided on an “as is” and “as available” basis.
5.2 Indirect Damages: In no event shall Amplocal be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of our website or services, including but not limited to loss of data, revenue, or profits.
Termination
6.1 Termination by Amplocal: Amplocal reserves the right to suspend or terminate your access to the website or services, in whole or in part, at any time without prior notice, for any reason, including but not limited to violation of these Terms or any applicable law.
6.2 Termination by You: You may terminate your use of the services at any time by providing written notice to Amplocal. However, fees paid for services rendered prior to termination are non-refundable.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of Oregon, USA. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Oregon.
